 中文摘要：依据代理理论，董事会的主要作用是代表股东监督管理者。这一理论观点受到管理学界的一些批判，例如它的前提假设被质疑，其次是实证研究结果与代理理论的预测不一致。基于企业法律理论（Heracleous & Lan, 2012; Lan & Heracleous, 2010），我们提出董事首要观（Director Primacy Perspective），认为公司董事会是一个团队生产过程，董事会成员扮演着“调和者”（mediator）的角色，履行着“自动受托人”（automatic fiduciaries）的职责。使用中国上市公司的数据，我们通过考察董事会异议（否决票）这一现象，实证检验了这个观点。我们发现董事会异质性和盈余管理这两个因素会增加董事会出现异议的可能性；董事会异议会降低了企业的短期绩效，管理者采用的“偏离战略”（deviant strategy）在这一关系中起到了中介作用。

 英文题目：BOARD DISSENT: EXAMINING THE DIRECTOR PRIMACY PERSPECTIVE

 英文摘要：Agency theory suggests that the main role of a board is monitoring the behavior of managers on behalf of shareholders. However, this perspective has been criticized for its underlying assumptions and the inconsistencies between theoretical and empirical findings. Based on legal theories of the firm (Heracleous & Lan, 2012; Lan & Heracleous, 2010), we propose a director primacy perspective in which the corporate board is a team production wherein the directors play a mediating role to fulfill the automatic fiduciaries. Using a novel dataset of publicly listed Chinese firms, we examine this alternative perspective through the board dissent phenomenon that is seldom explored in the literature but often occurs in the boardroom. We find two determinant factors that increase the likelihood of board dissent, namely board heterogeneity and earnings management. While board dissent reduces a firm’s short-term performance, we further find that this relationship is mediated by deviant strategy adopted by the manager.

 主讲人信息：孙黎教授执教于堪萨斯城密苏里大学管理学院全球创新与创业系，博士生课程导师。达拉斯德州大学全球战略管理博士，香港中文大学哲学硕士、中国人民大学学士，浙江宣平人。他对战略管理、国际商务与创新创业有深入的研究，在国际顶级学术期刊和国内最具影响力的商业期刊发表大量论文。他的论文发表在Strategic Management Journal、Journal of International Business Studies、Journal of Management Studies、Journal of World Business、Academy of Management Perspectives、Asia Pacific Journal of Management、Multinational Business Review、Asian Case Research Journal等期刊，其中大多为对中国企业所做的研究。孙黎教授著有《复盘:反思创新与商业模式》、《站在美国阳台看中国:企业战争和全球道路》等十余本专著。同时，他是《IT经理世界》、《北大商业评论》、《中欧商业评论》等刊物的特约撰稿人，并在《清华管理评论》等商业期刊发表文章。孙黎教授拥有11年的创业、融资和咨询经验。1998年，成为中国上市公司中最年轻的执行董事；曾经激情创业，他创办的高科技企业于2001年成功引入Intel的投资。
